SUMMARY:Fund Structuring across the EU: “Why my jurisdiction is better than yours!”
DESCRIPTION:[vc_row][vc_column][vc_column_text]This EACC webinar is brought to you by the EACC New York. \n\nAssets are being relocated and a number of European jurisdictions are seeing an influx of funds. As each European country has their own regulations\, it seems that some countries may be changing their legislation to be more competitive!\n\nJoin us for a highly interactive session where we will bring a selection of panelists from different EU jurisdictions to make the case for “their” jurisdiction and “compete” against each other by comparing the pros and cons to convince the audience why their country is more attractive to invest\, based on 3 scenarios we selected.\n\nScenario I: The US is a fertile market for investment in venture capital\, private equity and publicly traded stocks and investments.  Foreign investors however\, are rightly concerned about US tax and litigation entanglements.  One structure that facilitates these investments is to use a “blocker” entity that invests in the US and into which the non-US investors invest.\n\nIssues encountered in this scenario:\n● US withholding tax and FATCAUS estate and gift taxes and state inheritance taxes\n● US accreditation and qualified investor requirements\n● US AML and privacy rules\n● Access to the US legal system for redress and resolution of claims\n● US limitations on the use of finders and other unlicensed market participants\n\nScenario II: US investment managers see investment opportunities in the EU and UK\, in both publicly traded securities and private placements\n\nIssues encountered in this scenario:\n● EU/UK taxes on returns — availability of treaties and reclaim procedures (US mutual funds will often shy away from EU investing because of the gauntlet they must run to secure tax reclaims).\n● EU and local rules on private investment are confusing (to US investors)\n● French (and other proposed EU) transaction taxes:  too much friction?\n\nScenario III: US investment managers see untapped markets in the EU to sell their US-based/managed investment strategies (such strategies may be US based and/or have a global footprint).\n\nIssues encountered in this scenario:\n● Reverse solicitation — does it work?\n● Internet solicitation — where is the “line”?\n● GDPR is incompatible with US SEC recording keeping rules applicable to US registered advisers.\n● AIFMD/MFID Rules and use of Irish\, Lux\, or Cyprus pools and managers (with US advisers) to passport into Europe; the future of the UK in this regard?\n\nOur panel will discuss what the applicable rules are\, what the quantitative impact of the indigenous taxes is and what the costs for compliance are. If you are a fund manager or working with investors across Europe and the US this is a discussion not to be missed.\n\nSPEAKERS:\n● Raffaele Sansone\, Associate\, GIANNI\, ORIGONI\, GRIPPO\, CAPPELLI & PARTNERS\n● Luc Courtois\, Partner\, NAUTADUTILH\n● Greg Nowak\, Partner\, TROUTMAN PEPPER (Moderator)\n● Conor Durkin\, Partner\, MASON HAYES & CURRAN\n\nTIME:\n10:00am EST / 4:00pm CET\n\nREGISTRATION FEE:\nEACC Members: Free\nEACC non-Members: Free[/vc_column_text][/vc_column][/vc_row][vc_row][vc_column][vc_column_text][vc_btn title=”REGISTER” style=”flat” color=”primary” size=”lg” align=”center” button_block=”true” link=”url:attendee.gotowebinar.com/register/685219353839641357?source=EACCFL/WN_NSkHMubNSv6c3g_-lMz-TA|target:%20_blank|”][/vc_column_text][/vc_column][/vc_row]

Despite macro-economic tensions\, both recreational and business travel was experiencing steady growth around the world\, fueled by low prices\, more accessible information about destinations\, and increasing disposable income in the developing world. But by March\, the COVID-19 pandemic had changed everything and the travel and hospitality activity came to a grinding halt.\n\nWhile the process of re-opening after a long shutdown has begun\, progress has been slow and with government subsidies running out\, the industry is even more challenged\, with no clear short-term relief in sight.  The COVID-19 crisis will continue to profoundly impact how hospitality and travel-related businesses operate in Florida\, the United States\, Europe and across the globe.\n\nThe EACC Florida invites you to sit down to its Table-Topics to discuss some of the key issues affecting this industry and share ideas about how the industry is addressing its many current challenges. During this EACC Florida event\, participants will have the opportunity to join any two of eight Table-Topics\, interactive moderated conversations among small groups of industry colleagues from around the world.\n\nJoin the discussion and start networking!\n\nPROGRAM SCHEDULE\n10.00 AM – 10.10 AM EDT I 3.00 PM – 3.10 PM CET                        Welcome and explanation of the format\n\n10.10 AM – 10.40 AM EDT I 3.10 PM – 3.40 PM CET                        Table-Topics Session 1\n\n10.40 AM – 10.45 AM EDT I 3.40 PM – 3.45 PM CET                       Transfer to Session 2\n\n10.45 AM – 11.15 AM EDT I 3.45 PM – 4.15 PM CET                         Table-Topics Session 2\n\n11.15 AM – 11.25 AM EDT I 4.15 PM – 4.25 PM CET                          Conclusions\n\n \n\nWhat are table-topics?\n\nTable-topics are interactive conversations about general themes of interest to the travel and hospitality industry facilitated by a moderator. Conversations take place in groups of up to 10 like-minded professionals led by an expert in the field.\n\nThe “table-topic” format allows you to introduce yourself and exchange views with the other participants. At the conclusion of the event\, participants will be offered the opportunity to have EACC connect you with anyone who attended your session.\n\nThere will be 4 concurrent 30-minute table-topic discussions in each time slot and participants will be able to participate in 2 table-topics during the program.\n\nHow do I register?\n\nHave a look at the table-topic descriptions and select your 1st and 2nd choice for each session during the Registration process. You will only be able to participate in 1 table-topic per session. Table-topics will be filled on a first-come first-served basis.\n\nWhat happens on the day of the event?\n\nOn the day of the event\, after the introductory remarks\, you will automatically be placed in the room of your 1st or 2nd choice table topic. At the conclusion of the first session\, after a short break in the main room\, you will automatically be placed in the room of your second table-topic (1st or 2nd choice).\n\n \n\n \nTABLE-TOPIC DESCRIPTIONS\nSession 1 – 10.10 AM – 10.40 AM I 3.00 PM – 3.10 PM CET              \n\nTT-1 –       A Deep Dive into the Future of Luxury and its Intersection with Travel\n\n\nDespite macro-economic tensions\, travel had been growing across the world fueled by cheap transportation costs and a growing global middle class with increased disposable incomes. But COVID-19 changed everything.\n\nJoin me for a Deep Dive into the major forces and emerging trends that were set to reshape the luxury industry over the next decade\, explore how travel and luxury intersect and how the future interactions between these industries are being shaped by the current virus-related turbulences.\n\nTopic leader:    Erwan Rambourg – Managing Director and Global Head of Consumer & Retail Equity Research\, HSBC\n\n \n\nTT-2 –     Present and Future Local Market Activity\n\nAs the economy is trying to recover in a Market where tourism represents the main revenue stream\, where is Miami right now\, and where and how can the Travel and Hospitality industries move in order not only to sustain but to increase their affluence considering the new safety precautions necessary to their re-opening? Please join us at this table where we will share best practices on the current market activity and where it is going as well as how the national and international market affects it.\n\nTopic Leader:  Lizbeth Alvarez\, Global Director – TMF Group\n\n \n\nTT-3 –     Working with lenders\, suppliers and unions to survive until a return to some form of normalcy\n\nThe last 6 months have seen your industries face unprecedented disruptions not only for your businesses but for your necessary constituencies. Taylor\, Member – Cozen O’Connor\n\n \n\nSession 2 – 10.45 AM – 11.15 AM EDT I 3.45 PM – 4.15 PM CET\n\nTT-5 –     Alternative Revenues Sources for the hospitality industry          \n\nWhat works and what doesn’t? Exchange views on some of the options used successfully (or not) to create alternative sources of revenues for the hospitality industry.\n\n Expanded take-out and room service options?\n Creating outdoor spaces for dining and events weather permitting?\n Shift to long-term stay contracts requiring fewer transient guests?\n Use of large assets like cruise ships in warm storage to house corporate meetings in a manner that can enforce with social distancing?\n\nTopic leader:   Alexandre GUILLAUME\, Sales Manager EMEA – Front of the House (FOH)\n\n \n\nTT-6 –    Innovation and Alternative Revenue Sources for Transportation Providers\n\n\nTransportation providers are exploring new options to create alternative sources of revenues. Many of the innovative tools deployed and ideas being explored initially focused on efficiency gains and building an individualized passenger experience. At the same time\, transportation providers had to repurpose passenger carrying-assets for cargo use or shift assets to support e-commerce deliveries. How are those technologies and shifts addressing recent concerns with person to person transactions and service delivery? What are some of the innovative technologies outside transportation finding use cases in the industry?\n\nTopic leader:  Adam Kressler\, Vice President Customer Experience – CVG and Bobby Spann\, Vice President External Affairs – CVG\n\n \n\nTT-7 –    Innovation in Hospitality\n\nInnovation in the hospitality industry\, especially in these uncertain times\, is paramount for survival.  Technology and hygiene\, and in some cases a mixture of both\, have come to the forefront of guest comfortability and safety.  Please join us to discuss viewpoints and ideas on this exciting topic.\n\nTopic leader:  Charlie Grappone\, Team Leader – Sales – CitizenM Hotels\n\n [/vc_column_text][/vc_column][/vc_row][vc_row][vc_column][vc_column_text css=”.vc_custom_1602089622413{padding-bottom: 0px !important;}”]\nSPEAKER BIOS\n[/vc_column_text][vc_text_separator title=”” title_align=”separator_align_left” align=”align_left” border_width=”2″][/vc_column][/vc_row][vc_row][vc_column width=”1/4″][vc_single_image image=”33274″ alignment=”center”][/vc_column][vc_column width=”3/4″][vc_column_text]Lizbeth Alvarez is the Global Client Director for TMF Group leading the strategy for a global base of Multinational Corporations located around the world.  She holds and Executive MBA from FIU in Miami. SUMMARY:Building The 21st Century Workforce With Innovative Apprenticeships
DESCRIPTION:[vc_row][vc_column][vc_column_text]Pre-Pandemic studies have shown that in the United States there will be a shortage of 3.4 million workers in the next 10 years. This number might be exacerbated by the COVID-19 crisis on the US economy and the medium-to-long term effects of school and college closures and distance-learning on America’s future workforce. Advanced manufacturing is already confronted to an underqualified workforce and hundreds of thousands of unfulfilled jobs. Looking to the world-class benchmark standards of the dual education systems in Germany\, Switzerland and Austria\, which blend academic theory with practical hands-on learning\, apprenticeship programs are increasingly part of the work-force development solution in the United States in particular in the high-tech industries. From the Space Coast of Florida to the manufacturing hubs of Ohio and The Carolinas\, hear from some of the world leaders in technical education and from global companies that have successfully integrated these innovative apprenticeship programs into their work-force development.\n\nThis program will be graced by the presence of the Consul General of Germany in Florida\, in honor of the German Presidency of the European Union.\n\n \n\nTopics for discussion\n\n Is implementing a German style apprentice program in the US difficult bearing in mind the differences between the US and German educational systems?\n What type of industries / companies are they most effective in?\n What does a “German-style” apprenticeship in the US look like?\n How do they differ with other types of apprenticeships?\n Which educational partners are necessary to make apprenticeships a success?\n What role do apprenticeships play in helping companies attract and retain a diverse workforce especially in the high-tech industries?\n\n \n\nPanelists:\n\n Andreas Siegel\, General Consul of the Federal Republic of Germany for Florida – Miami (FL)\n Andreas Brockman\, Head of Technical Training and Education USA – Festo Didactic – Mason (OH)\n Robert Ellis\, HR Team Lead Supervisor Training and Apprenticeship – ZF Group – Gray Court (SC)\n Kai Schmidt\, Director Human Resources & Facilities – Airbus OneWeb Satellites and Chairman and Co-Founder of the SCCAP – Merritt Island (FL)\n Todd Schwartz\, Executive Director EACC Cincinnati – Moderator\n\nThis program is brought to you by:[/vc_column_text][/vc_column][/vc_row][vc_row][vc_column width=”1/3″][vc_single_image image=”33084″ img_size=”full” onclick=”custom_link” img_link_target=”_blank” link=”https://eacc-carolinas.com”][/vc_column][vc_column width=”1/3″][vc_single_image image=”33083″ img_size=”full” onclick=”custom_link” img_link_target=”_blank” link=”https://eacc-cincinnati.com”][/vc_column][vc_column width=”1/3″][vc_single_image image=”33082″ img_size=”full” onclick=”custom_link” link=”https://eaccfl.com”][/vc_column][/vc_row][vc_row][vc_column][vc_column_text]Speaker Bios:[/vc_column_text][/vc_column][/vc_row][vc_row][vc_column width=”1/4″][vc_single_image image=”33087″ alignment=”center”][/vc_column][vc_column width=”3/4″][vc_column_text]Andreas Brockmann started with FESTO in Cincinatti in June 2017 as the Head of Technical Training & Education\, U.S. He previously worked in the Engineering Division at York Technical College in Rock Hill\, SC as the Department Chair in Industrial Maintenance Technology\, Mechatronic & Welding. SUMMARY:What are the legal FDI implications of COVID-19 in Europe and the U.S.
DESCRIPTION:[vc_row][vc_column][vc_column_text]This EACC webinar is brought to you by the EACC New York. \n\nCOVID-19 has not only significantly slowed down social life\, but economies as well. All over the world\, competition authorities have felt the need to temporarily adjust their regulations and tighten their scrutiny. They have to balance between protecting the nation’s economy and stimulating recovery\, while still allowing for collaboration and cross-border trade and investments. The Foreign Direct Investment regulations in Europe are seeing exemptions in certain forms of cooperation\, allowing state aids under certain conditions\, but also increased restrictions in acquisitions to avoid ailing firms to fall into foreign hands. \n\nIn the U.S.\, COVID-19 has affected and will continue to affect examinations of foreign investment into the United States by the Committee on Foreign Investment in the United States (CFIUS). In particular\, the pandemic may lead to additional scrutiny of foreign investments in the U.S. health\, biotech and pharmaceutical sectors. In addition\, debt restructuring transactions and opportunities to invest in distressed assets will probably be on the rise. Both foreign investors and lenders should assess if these transactions may be within the jurisdiction of CFIUS and\, if so\, whether a filing must or should be made. \n\nOur panel will discuss: \n\n● Overview of the various rules related to FDI [EU] and CFIUS [U.S.] \n\n● Recent COVID-19 related changes – Expanding the list of relevant sectors – Including acquisitions in sectors other than Defense and Security (EU) – Expanding the list of notifiable transactions \n\n● Interactions with EU Regulation on FDI \n\nSPEAKERS: \n\n● Francesco Maria Salerno\, Partner\, GIANNI\, ORIGONI\, GRIPPO\, CAPPELLI & PARTNERS \n\n● Jeanine McGuinness\, Partner\, ORRICK \n\n● Jonathan Shames\, Global Client Service Partner\, PE & Geostrategic Business Group\, EY [Moderator] \n\nREGISTRATION FEE: This webinar is free of charge for EACCNY members and EACCNY non-members. On July 16\, 2020\, in reaction to France’s plan to impose a Digital Service Tax on e-commerce companies\, the United States Trade Representative threatened to impose additional duties of 25% as of January 2021 on products from France such as handbags\, make-up and soap. Join us to find out how these duties are impacting trade between the US and Europe\, how affected industries and companies are handling this\, and dive into what local impact looks like with the example of Florida\, a trade hub into Latin America.\n\nTopics to be covered in this webinar will include:\n\n What is the impact of the US retaliatory tariffs in relation to the Airbus dispute on trade flows into the US from the EU?\n How are the tariffs on steel and aluminum which apply worldwide and the Section 301 tariffs against Chinese produced products impacting European-owned companies in the US which manufacture in China?\n Are these tariffs creating competition within the EU Member States since the list is product and country-specific? What is the impact on trade from Spain?\n As a response to France’s plan to impose a Digital Services Tax on e-commerce companies\, what is the reaction to the US threat to impose 25% additional tariff on certain goods from France?\n What are the perspectives for a compromise between the EU and US?\n How are these trades disputes impacting large multinational companies\, their brands and global supply chains?\n What is the impact on smaller companies and/or importers of goods? And what about the end consumer?\n What strategies can be put into place to mitigate the impact of these trade disputes and additional tariff burden not to mention the impact of the COVID-19 global pandemic on supply chains\, suppliers\, products\, etc …\n What does local impact look like with the example of Florida\, a trade hub into the US and Latin America?\n\nPanelists:\n\n Francisco Garzón: Trade Commissioner of Spain in Miami\n Peter Quinter: Shareholder\, GrayRobinson\, Miami\n Laura Siegel Rabinowitz: Shareholder\, Greenberg Traurig\, New York – Moderator\n Lynn Usdan: Senior Vice President\, Ethics and Compliance/Corporate Affairs at LVMH Moët Hennessy Louis Vuitton Inc.\n\n[/vc_column_text][/vc_column][/vc_row][vc_row][vc_column width=”1/4″][vc_single_image image=”33104″ alignment=”center”][/vc_column][vc_column width=”3/4″][vc_column_text]Francisco Javier Garzón Morales\n\nFrancisco is the Trade Commissioner for the Trade Commission of Spain in Miami. SUMMARY:Immigration Update - Visa Options for Europeans and Canadians in the Age of COVID-19 & in the Light of Recent Developments
DESCRIPTION:[vc_row][vc_column][vc_column_text]\nAs of April 22\, a temporarily halt on immigration known as the “COVID-19 Proclamation” came into effect; suspending all routine visa services at U.S. embassies and consulates. This measure\, in addition to the many changes to the U.S. immigration system ordered in 2019 by the current U.S. Administration\, has had a significant impact on the lives of millions of immigrants living legally in the United States.\n\nImmigration Reform (2019) was designed to slow legal immigration and to strengthen the Department of Homeland Security’s ability to enforce immigration laws\, create obstacles in the immigration process for some\, and streamline the path to obtain immigration benefits for others. Some of these changes are taking effect in 2020\, and even more changes may be on the horizon.\n\nJoin our panel for an update on U.S. immigration and how it may affect you and your business or your ability to conduct business in the United States.\n[/vc_column_text][/vc_column][/vc_row][vc_row][vc_column][vc_column_text][vc_btn title=”REGISTER” style=”flat” color=”primary” size=”lg” align=”center” button_block=”true” link=”url:us02web.zoom.us/webinar/register/2815929353634/WN_NSkHMubNSv6c3g_-lMz-TA|target:%20_blank|”][/vc_column_text][/vc_column][/vc_row]

SUMMARY:Cyber Security Threat Management during a Global Disruption like the COVID-19 Pandemic
DESCRIPTION:[vc_row][vc_column][vc_column_text]In today’s increasingly digitized world and with the economy\, and the way we work being disrupted by the COVID-19 pandemic\, cyber threats are on the rise. Now that nearly all firms are working 100% remotely\, hackers are increasingly creative. Aside from the inability to adequately monitor VPN access points and usage of equipment\, the fear and distraction due to the virus and the lock-down measures\, create a perfect backdoor into computer systems.\n\nCompanies need to be better prepared and deploy more sophisticated strategies and solutions to protect their business and to consistently analyze if their systems were intruded in order to avert a later attack.\n\nThis program brings together Cyber Security experts and practitioners from the US and Europe to address issues such as Hacking Trends & Tools of the Trade on both sides of the Atlantic; Cyber-Regulation in the EU & US; Prevention & Breach Management; Internal Preparedness Soft spots; and more.[/vc_column_text][/vc_column][/vc_row][vc_row][vc_column][vc_column_text][vc_btn title=”REGISTER” style=”flat” color=”primary” size=”lg” align=”center” button_block=”true” link=”url:us02web.zoom.us/webinar/register/3215894060938/WN_FgETqHV6QHShhAf91ogiyg||target:%20_blank|”][/vc_column_text][/vc_column][/vc_row]

SUMMARY:STRANDED IN THE USA OR EUROPE? COVID-19 TRAVEL DISRUPTIONS
DESCRIPTION:[vc_row][vc_column][vc_column_text]COVID-19 TRAVEL DISRUPTIONS\n\nImpact on foreign business travelers\, executives and their employers\n\nCOVID-19 has left visitors\, business travelers and executives stranded in their country of destination – be it in Europe or the United States – and potentially subjecting those individuals and their employers to that nation’s income tax. Likewise\, employers confronted with stranded foreign employees on temporary missions must handle any consequences of over-staying a visa or a temporary work contract in compliance with immigration and employment laws. Some countries have relaxed some of these rules while others have yet to provide the necessary guidance.\n\nJoin us for a discussion of some of those situations and the various relief measures introduced and how they work. We will be having a closer look at the implications for employers and individuals in the United States and Europe.\n\n \n\nTOPICS FOR DISCUSSION:\n\nTaxation of Employers and Individuals\n\n What are the taxation rules in the United States?\n What are the current relief measures in the United States?\n What are the common taxation rules in Europe?\n What is the effect of the OECD recommendations?\n Can these stranded Individuals give rise to a permanent establishment of the Employer?\n Have any remedies been applied by countries?\n\n \n\nImmigration\n\n What can I do if I am unable to depart the U.S. before my authorized period of admission expires?\n What are acceptable ‘business visitor’ activities?\n Due to the impact of COVID-19 on business operations\, employers are dealing with layoffs\, furloughs\, or termination of employees.  How does this impact employees on nonimmigrant work visas?\n I planned on going to the U.S. Consulate abroad to apply for a new visa stamp.  Can I still go?\n\n \n\nSPEAKERS:[/vc_column_text][/vc_column][/vc_row][vc_row][vc_column][/vc_column][/vc_row][vc_row][vc_column width=”1/4″][vc_single_image image=”32749″ img_size=”full” alignment=”center”][/vc_column][vc_column width=”3/4″][vc_column_text]Curtis Best is a Managing Director in Andersen Tax’s New York Office. SUMMARY:The U.S. Wayfair Decision: Untangling the Web of U.S. Sales Tax and What European Businesses Need to Know
DESCRIPTION:Right now\, more and more businesses transactions are being taken online. When selling goods or services into the United States\, you may have to collect sales tax for that transaction in each state your client resides.\n\nNo longer do you need to have a physical presence – or “nexus” – in the U.S. to be sales tax obligatory. It all started with the U.S. Supreme Court decision South Dakota v. Wayfair on June 21\, 2018. The so called Wayfair Decision allows states to mandate that businesses with more than 200 transactions or $100\,000 in-state sales\, collect and remit sales taxes on transactions in the state\, whether the business has a physical presence in the state or not. The new law rather allows the state to tax businesses based on the customer’s location and the amount of sales\, not the location of the business. Many states followed South Dakota\, resulting in a collection of similar but at the same time wildly varying tax laws apply and doing business in the U.S. all of a sudden feels like doing business in “50 different countries”.\n\nRegister now to find out what the U.S. Wayfair Decision means for European businesses in the United States and how the legislation affects businesses across the country.\n\n \n\n[vc_btn title=”REGISTER” style=”flat” color=”primary” size=”lg” align=”center” button_block=”true” link=”url:us02web.zoom.us/webinar/register/8115880791858/WN_31ay7lM2Qlmo8XvW11cFsA||target:%20_blank|”]
